End User License Agreement (EULA)
This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a legal entity) (“Licensee”, “you”) and VIGASH, owned by VGML Enterprises (“VIGASH”, “we”, “us”), governing your use of the software tools, plugins, macros, executables, and related documentation provided by VIGASH (“Software”).
By installing, accessing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
1. License Grant
Subject to payment of applicable fees and compliance with this EULA, VIGASH grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your internal business purposes.
2. License Scope and Restrictions
You shall not, and shall not permit others to:
Copy, modify, distribute, sell, lease, sublicense, or share the Software;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
Use the Software for providing services to third parties without written consent from VIGASH;
Use the Software in excess of the licensed users, machines, or duration.
3. Machine-Locked License
The Software is licensed on a per-machine basis, unless otherwise agreed in writing.
If the machine on which the Software is installed becomes damaged, replaced, or unusable, the license shall not be transferred to another machine or system. A new license must be purchased from VIGASH to continue use of the Software.
4. Ownership and Intellectual Property
All rights, title, and interest in and to the Software, including all intellectual property rights, remain with VIGASH. No ownership rights are transferred to you under this EULA.
5. Third-Party Software
The Software may interact with third-party products, including Tekla Structures. Use of such third-party software is subject to its own license terms.
VIGASH is an independent developer and is not affiliated with or endorsed by Trimble Solutions Corporation.
Tekla® and Tekla Structures® are registered trademarks of Trimble Solutions Corporation.
6. Updates and Support
Updates, upgrades, maintenance, and technical support are provided only if explicitly included in the applicable commercial agreement or quotation.
Compatibility with future versions of Tekla Structures may require additional agreements or fees.
7. Warranty Disclaimer
The Software is provided “AS IS” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, VIGASH shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Software.
VIGASH’s total liability under this EULA shall not exceed the amount paid by you for the Software license.
9. Termination
This EULA is effective until terminated. Your rights under this EULA will automatically terminate if you breach any term of this Agreement.
Upon termination, you must immediately cease all use of the Software and delete all copies in your possession.
10. Governing Law
This EULA shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
11. Entire Agreement
This EULA, together with the applicable Terms and Conditions of Sale, constitutes the entire agreement between you and VIGASH relating to the Software.
