Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) govern the sale of software tools, plugins, macros, custom development services, licenses, and related services (“Products and Services”) by VIGASH, owned by VGML Enterprises (“VIGASH”, “we”, “us”) to the customer (“Customer”, “you”).

By accepting a quotation, placing an order, or using VIGASH Products or Services, you agree to these Terms.

1. Orders and Acceptance

All quotations issued by VIGASH are valid only for the period specified therein. An order shall be deemed accepted only upon written confirmation from VIGASH or upon commencement of work.

Any terms proposed by the Customer that conflict with these Terms shall not apply unless expressly agreed in writing by VIGASH.

2. Pricing and Payment

All prices are as stated in the agreed quotation. Unless otherwise agreed in writing, payments shall be made within the timeframe specified in the invoice.

All applicable taxes, duties, and bank charges shall be borne by the Customer. Late payments may result in suspension of license access or delivery.

3. Delivery

Software Products shall be delivered electronically unless otherwise agreed. Delivery timelines are estimates and shall not be binding unless explicitly stated in writing.

4. Licensing

All software Products are licensed, not sold, and are subject to the applicable End User License Agreement (EULA).

Licenses are issued on a per-machine basis, unless otherwise agreed in writing.

In the event that the machine on which the licensed software is installed becomes damaged, replaced, or unusable, the license shall not be transferred to a new machine or system. In such cases, a new license must be purchased from VIGASH.

5. Support and Updates

Support, maintenance, updates, and compatibility with future versions of Tekla Structures are provided only if explicitly included in the agreed quotation or commercial agreement. Additional support or upgrades may require a separate agreement.

6. Third-Party Software

VIGASH tools may interact with third-party software, including Tekla Structures. Such third-party software is governed by its own license terms.

7. Warranty Disclaimer

Unless expressly stated otherwise in writing, all Products and Services are provided “AS IS”, without warranties of any kind, whether express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, VIGASH shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Products or Services.

VIGASH’s total liability shall in no event exceed the amount paid by the Customer for the specific Product or Service giving rise to the claim.

9. Termination

VIGASH reserves the right to suspend or terminate delivery, licenses, or services in the event of non-payment or material breach of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

11. Entire Agreement

These Terms, together with the applicable quotation and EULA, constitute the entire agreement between the parties concerning the sale of the Products and Services.
